General Conditions for our Services

Introduction

These General Conditions (hereinafter referred to as "Conditions") govern the provision of consultancy and software implementation services (hereinafter referred to as "Services") by Host Assist 360 (hereinafter referred to as "Host Assist"), to property owners and vacation rental companies (hereinafter referred to as "Clients"). By accepting these Conditions, the Clients agree to be bound by them.

Scope of Services

Host Assist will provide virtual assistance services tailored to the needs of the hospitality sector. The Services may include, but are not limited to:

1. Managing reservations, inquiries, and guest communication across various platforms.

2. Coordinating check-in/check-out processes and ensuring seamless guest experiences.

3. Handling administrative tasks such as updating property listings, managing calendars, and tracking payments.

4. Providing support for operational needs, including coordinating with cleaning and maintenance teams.

5. Offering ongoing virtual support to optimize the Clients’ hospitality operations.

The exact scope of the Services will be defined in a separate agreement between the Clients and Host Assist.

Client Obligations

The Clients must:

1. Provide Host Assist with all necessary information and access to their systems to enable the provision of the Services.

2. Ensure that their systems meet the technical requirements specified by Host Assist.

3. Provide feedback and cooperate with Host Assist in a timely and professional manner throughout the provision of the Services.

Fees and Payment

1. The fees for the Services will be agreed upon in the separate agreement between the Clients and Host Assist.

2. Payment terms will also be defined in the same agreement.

3. All fees are exclusive of any applicable taxes, which will be the responsibility of the Clients.

Intellectual Property Rights

1. The Clients may use the software solutions only for their internal business purposes and may not distribute, sublicense, or otherwise make the software solutions available to any third party without prior written consent from Host Assist.

2. Intellectual property rights related to any materials or software solutions provided remain with Host Assist or its licensors.

Confidentiality

Host Assist and the Clients agree to keep confidential any information disclosed during the provision of the Services that is designated as confidential or should reasonably be considered confidential. This obligation shall survive the termination of the agreement between the parties.

Limitation of Liability

1. Host Assist shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the provision of the Services.

2. Host Assist's liability for any claim arising out of or in connection with the provision of the Services shall be limited to the amount paid by the Clients for the Services.

Termination

1. Either party may terminate the agreement if the other party breaches any material provision of the agreement and fails to cure such breach within thirty (30) days after receiving written notice of the breach.

2. Upon termination, the Clients must immediately cease using the software solutions developed and implemented as part of the Services.

Governing Law and Jurisdiction

These Conditions shall be governed by and construed in accordance with the laws of the jurisdiction where Host Assist is headquartered. Any disputes arising out of or in connection with these Conditions shall be resolved by the courts of that jurisdiction.

Entire Agreement

These Conditions constitute the entire agreement between the parties and supersede all prior or contemporaneous negotiations, discussions, agreements, or understandings. These Conditions may not be amended or modified except in writing signed by both parties.

Attribution of Visual Assets

1. The logos used in Host Assist's projects, sourced from The Noun Project, are the creative works of various artists, including 'Yoyo,' 'Tomas Knopp,' 'Sahabat Visual,' among others.

2. Images sourced from platforms like Pexels are the creative works of talented photographers. Appropriate attribution will be provided as required.

By accepting these General Conditions, the Clients acknowledge that they have read, understood, and agree to be bound by them.
